Terms and Conditions

By engaging with Prospect Revival ("we," "us," or "our") and using any of our services—Revive, Clara, FlowGuard, or any future offerings—you (“Client”) agree to the following terms and conditions:
Prospect Revival provides AI-powered marketing and customer engagement services, including but not limited to:
-- Automated outreach to dormant leads (Revive)
-- AI-driven voice-based customer support and task handling (Clara)
-- Proactive lead re-engagement and pipeline optimization (FlowGuard)
Each service is customized to meet the Client’s objectives, subject to proper onboarding, system setup, and data submission.
2. Billing & Payment Terms
All services are billed monthly, unless otherwise agreed in writing. Billing begins upon completion of onboarding and activation of the Client’s campaign or AI configuration. Invoices are due within 7 days of issuance. Late payments may result in service suspension. Fees are outlined in a separate service agreement or proposal and may vary by package or usage volume. Performance-based pricing, if applicable, will be clearly stated in the signed agreement.
The Client agrees to provide all necessary data, access, and collaboration to enable setup and execution of services. For Revive or FlowGuard, the Client is responsible for uploading contact lists (e.g., CSV) with accurate and permissioned customer data. The Client is responsible for ensuring that use of these services complies with applicable laws and communication regulations (including opt-in SMS/text requirements).
Prospect Revival will monitor and optimize campaigns to ensure quality, deliverability, and compliance.To protect messaging deliverability and maintain A2P compliance, campaigns will be launched in a phased rollout.Prospect Revival reserves the right to pause or adjust campaigns to address delivery issues, excessive opt-outs, or compliance risks.
The Client agrees and provides consent for Prospect Revival to send marketing and transactional communications on the Client's behalf, including but not limited to email, SMS/text messages, voice AI calls, and ringless voicemails, to contacts provided by the Client. The Client is solely responsible for ensuring that all contacts have properly opted in to receive communications, and that all uploaded data complies with applicable federal, state, and industry regulations (e.g., TCPA, CAN-SPAM, CTIA guidelines). Prospect Revival reserves the right to reject, pause, or modify outreach strategies to maintain compliance and deliverability standards.
We will not share, sell, or misuse any client or customer data provided for use in our services.All information is handled in accordance with our Privacy Policy.
All proprietary software, workflows, prompts, and AI configurations used in our services remain the intellectual property of Prospect Revival. The Client retains ownership of their own customer data and content used within campaigns.
The Client may request to pause services with 7 days’ notice. Paused accounts may be subject to a reactivation fee. Refunds are not guaranteed and are evaluated on a case-by-case basis. Any terms regarding refunds, credits, or pausing services that appear in a signed agreement or proposal will supersede these standard terms.
Either party may terminate services with 14 days’ written notice. In the event of termination, services will be prorated based on days used within the billing cycle. Prospect Revival reserves the right to terminate service immediately in cases of non-payment, misuse, or non-compliance with these terms.
Prospect Revival is not liable for indirect, incidental, or consequential damages arising from the use of its services. Total liability shall not exceed the fees paid by the Client in the three months preceding the claim.
We may update these terms periodically. Clients will be notified of any material changes in advance. Continued use of services constitutes acceptance of the updated terms.
Prospect Revival may contact prospective or existing clients as part of its own marketing and prospecting efforts. Communication methods may include, but are not limited to:
-- Email marketing campaigns
-- SMS/text message outreach
-- AI-powered voice calls or ringless voicemail drops
-- Social media retargeting or paid digital advertising
-- Automated or live outbound campaigns
By using our website or submitting your contact information, you acknowledge and agree that Prospect Revival may contact you for business and promotional purposes. You may opt out of non-transactional communications at any time via the appropriate unsubscribe mechanism provided.
Our website may use cookies, tracking pixels, and related technologies to improve user experience, measure traffic, and deliver targeted advertising. These technologies may collect standard web browser data such as IP address, device type, referring URLs, and browsing behavior on our site.
